I only just realized that I love to write, almost as much as I love to read, when the opportunity to write my first book dropped in my lap last fall. I have relished every second of crafting a 219 page book on a subject many find dry: how corporate governance (the board of directors) works, and doesn’t work. Readers thus far exclaim that the serious scholarship surprised them, almost as much as did their inability to put the book down. I am hopeful that these qualities will draw a good audience to the book on this esoteric and often mysterious but extremely important subject. The Governance Revolution: What Every Board Member Needs to Know, Now!, released by De | G Press in September, 2018, traces the evolution of the corporate form and its sidekick, the board of directors; its arrival in the New World and its extraordinary rise. It chronicles also the development of the market for capital, and the rise of private equity, mortgage related and derivative instruments, and the impact of various public policies. Personally, having served on a number of boards of directors myself starting in 1990 and having advised countless others, these issues have been swirling around in my head for decades as I see so many directors who do not fully understand their job. Though as a corporate turnaround executive I saw the weaker ones, it seemed nonetheless that the issue was pervasive. At the same time, pressures on now dominant institutional investors, who need to achieve outsized returns to fund their obligations to pensioners, make them ever more aggressive in their approach to the boardroom. Thus, from the industrial revolution we lurched into what has famously been called the corporate revolution, in which much wealth moved from individual to corporate control. Now, with corporations so large and central to our lives, we are in the midst of The Governance Revolution, in which the battle for control of the corporation, holder of that wealth, has been joined. Directors everywhere are more important than ever before, and all parties to the Revolution need to understand their jobs, and the huge stakes involved. Why am I the voice? Since I took my first board seat in 1990 as lead independent director in the Drexel Burnham Lambert Group, Inc. Chapter 11 case, I have been fascinated by the principles and practices of corporste governance, and I seemed to possess an intuitive understanding of the fiduciary role. Since then the fascination has endured, and I have served on the board of over 30 organizations snd advised many more.   What will my next book be? It is in the works, so please stand by.
