The book traces the evolution of the
corporate form and its sidekick, the board of directors; its arrival in the New World and its extraordinary rise. It chronicles the development of the market for capital, the rise of private equity, mortgage related and derivative instruments, of institutional investors, regulators and importantly, of independent directors. Having served on a number of boards of directors myself starting in 1990 and having advised countless others, these issues have been swirling around in my head for decades as I see so many directors who do not fully understand their jobs. The issue was pervasive.
At the same time, pressures on now dominant institutional investors, who need to achieve outsized returns to fund their obligations to pensioners, make them ever more aggressive in their approach to the boardroom. Thus, from the industrial revolution we lurched into what has famously been called the corporate revolution, in which much wealth moved from individual to corporate control. Now the Governance Revolution, the battle for control of thst wealth, has been joined, and directors must prepare for battle.
